1. ACCEPTANCE OF TERMS

Welcome to BonkX ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the BonkX website located at bonkx.io (the "Website") and our waitlist program. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Website.

2. ABOUT BONKX

BonkX is developing payment infrastructure solutions. The Website currently offers a waitlist program with gamified quests and tasks that allows users to earn points and improve their position on the waitlist for early access to our products when they become available.

IMPORTANT: BonkX products are currently in development and not yet available. No financial products or services are currently offered through this Website. These Terms govern only the waitlist program and Website access.

3. ELIGIBILITY

You must be at least 18 years of age to use the Website and join the waitlist. By using the Website, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. WAITLIST PROGRAM

4.1 Registration

To join the waitlist, you must provide a valid email address. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

4.2 Gamified Quests & Points System

• You may participate in gamified quests and tasks to earn points
• Quest verification and management is provided by Domino.run, a third-party service provider
• Points may improve your position on the waitlist
• The points system, quest availability, and waitlist rankings are subject to change at our sole discretion
• Points have no monetary value and cannot be redeemed for cash or transferred to third parties
• We reserve the right to modify, suspend, or terminate the points system or any quest at any time without notice
• Completion of quests may require interaction with third-party platforms (social media, blockchain networks, etc.)

4.3 Waitlist Position

• Waitlist position does not guarantee access to any product or service
• We reserve the right to invite users from the waitlist in any order, regardless of points or position
• Waitlist participation does not create any contractual obligation for us to provide products or services
• We may remove users from the waitlist at any time for any reason, including violation of these Terms

4.4 Third-Party Quest Platform

• Quest and task management is provided through Domino.run, a third-party service
• Your use of Domino.run's services is subject to their separate terms of service and privacy policy
• We are not responsible for Domino.run's services, availability, or functionality
• Quest verification, rewards, and point allocation may be affected by Domino.run's operations
• You acknowledge that we rely on Domino.run for quest verification and accept the risks associated with third-party service providers

5. NO FINANCIAL SERVICES

The Website does not currently offer, and these Terms do not govern, any financial products, payment services, cryptocurrency services, or banking services. Any future products or services will be subject to separate terms and conditions, licensing requirements, and regulatory approvals.

6. INTELLECTUAL PROPERTY

6.1 Our Property

All content on the Website, including but not limited to text, graphics, logos, images, software, and the "BONK, NOT BANK" tagline and other trademarks, is the property of BonkX or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes in accordance with these Terms.

6.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Website
• Reverse engineer or attempt to extract source code from the Website
• Use the Website for any commercial purpose without our express written consent
• Remove any copyright, trademark, or other proprietary notices

7. PROHIBITED CONDUCT

• Exploit bugs, glitches, or vulnerabilities in the quest system for unfair advantage
• Engage in any activity that violates the terms of service of third-party platforms (X/Twitter, Discord, Telegram, blockchain networks, etc.)

8. ACCOUNT TERMINATION AND DISQUALIFICATION

We reserve the right to:

• Suspend or terminate your access to the Website
• Remove you from the waitlist
• Revoke earned points
• Disqualify you from any current or future programs

This may occur at any time, for any reason, including if we believe you have:

• Violated these Terms
• Engaged in fraudulent or abusive behavior
• Used multiple accounts or automated tools
• Manipulated the quest or points system
• Provided false information

9. DISCLAIMERS

9.1 No Warranties

THE WEBSITE, WAITLIST PROGRAM, AND QUEST SYSTEM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Access

WE DO NOT WARRANT THAT:

• The Website will be available at any particular time or location
• The Website will be secure, uninterrupted, or error-free
• Any defects or errors will be corrected
• Participation in the waitlist will result in access to any product or service
• Points or waitlist position will be maintained or honored
• Quests will function properly or be available
• Third-party services (including Domino.run) will operate without interruption

9.3 Third-Party Services

WE ARE NOT RESPONSIBLE FOR:

• The availability, functionality, or accuracy of Domino.run or other third-party services
• Any loss of points, quest progress, or waitlist position due to third-party service issues
• The terms, privacy practices, or conduct of any third-party service providers
• Verification failures or delays by third-party platforms

9.4 Forward-Looking Statements

Any statements regarding future products, services, features, or timelines are forward-looking statements and subject to change. We make no guarantees regarding the launch, features, or availability of any future products or services.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONKX INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Website
• Any conduct or content of any third party on the Website
• Any content obtained from the Website
• Unauthorized access, use, or alteration of your transmissions or content
• Loss of points, quest progress, or waitlist position
• Failure or malfunction of third-party services including Domino.run
• Any decisions we make regarding waitlist invitations or access to future products

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE WEBSITE EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BonkX and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your participation in quests or the points program
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Your violation of third-party platform terms of service
• Your use of third-party services including Domino.run

The Website contains links to and integrations with third-party websites and services, including but not limited to:

• Domino.run (quest platform)
• Social media platforms (X/Twitter, Discord, Telegram, etc.)
• Blockchain networks and applications
• Other Web3 services

We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. You acknowledge and agree that BonkX shall not be responsible or liable for any damage or loss caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

You are responsible for reading and complying with the terms of service and privacy policies of all third-party services you interact with through the Website or quest system.

13. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Website with a new "Last Updated" date. Your continued use of the Website after such changes constitutes your acceptance of the modified Terms.

14. MODIFICATIONS TO WEBSITE AND SERVICES

We reserve the right to modify, suspend, or discontinue the Website, waitlist program, quest system, or points program at any time without notice or liability. This includes the right to:

• Change quest requirements or availability
• Modify point values or calculation methods
• Remove or add quests
• Change waitlist ranking algorithms
• Migrate to different service providers

15. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the Website shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

16. ARBITRATION AGREEMENT

16.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Delaware, unless otherwise agreed by the parties.

16.2 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

16.3 Exception

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

17. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the extent necessary to make it valid and enforceable.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BonkX regarding your use of the Website and supersede any prior agreements between you and BonkX relating to your use of the Website.

19. NO WAIVER

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20. ASSIGNMENT

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

21. EXPORT CONTROLS

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control.

22. BLOCKCHAIN AND WEB3 RISKS

If you participate in quests involving blockchain transactions or Web3 applications, you acknowledge and accept the following risks:

• Blockchain transactions are irreversible
• Gas fees and network congestion may affect transaction completion
• Smart contract vulnerabilities may exist
• Cryptocurrency values are volatile
• Wallet security is your responsibility
• We are not responsible for losses due to blockchain-related issues
